Terms of Service

These terms cover your use of BuddyWorkflow: how accounts work, what you pay, what you can expect from us, and what we expect from you.

1. Agreement

BuddyWorkflow ("we", "us") provides software for small businesses (the "Service"). By creating an account or using the Service you agree to these terms. If you are agreeing on behalf of a business, you confirm you are authorized to do so.

4. Free tier

Every tool has a free tier with a monthly usage limit, and the current limits are shown in the app and on the pricing page. Free means free: there is no trial clock and no card required. If you reach a limit, that tool pauses the metered action until the next monthly reset or until you upgrade that one tool. We may adjust free limits over time and will show the current limits in the app.

This one matters, so it is spelled out plainly.

Before you confirm any change we show the exact date it takes effect, in the same words used here. Your billing page always shows the current term end date and any scheduled change.

7. Payments you collect from your clients

If you use invoicing, payments are processed through your own Stripe account under Stripe's terms, and funds settle from Stripe to your bank, never through us. Card and bank transfer processing costs are passed through to you at cost with no markup. On the free tier a flat BuddyWorkflow fee applies to each collected payment, disclosed before you send the invoice; paid plans remove that fee. You choose per invoice whether to absorb the fee or disclose it to your client as a surcharge, and you are responsible for whether a surcharge is permitted where you operate.

We are not a bank, a money transmitter, or a party to your contracts with your clients. Refunds, chargebacks, disputes, and delivery of your work are between you, your client, and Stripe.

8. Not accounting, tax or legal advice

BuddyWorkflow is a set of bookkeeping and business tools, not an accountant, a bookkeeper, a tax preparer, or a law firm. Categorizations, budgets, tax estimates, reports, and contract templates are provided for your convenience and are not accounting, tax, or legal advice. You are responsible for reviewing your books, your filings, and any contract you send, ideally with a qualified professional.

You own the data you put into BuddyWorkflow. We process it to run the Service, as described in the Privacy Policy, and we do not sell it. You can export your data at any time, and you can remove connected platform data or delete your account and everything in it as described on the Data Deletion page.

11. Third party connections

The Service connects to platforms you choose, and each connection happens only with your authorization and only for the feature you turn on:

Each of those platforms is governed by its own terms and privacy policy, and your use of them through BuddyWorkflow is subject to those terms as well. We are not responsible for their availability, accuracy, pricing, or changes to their APIs. You can disconnect any of them at any time, which stops future syncing and removes the stored data from that connection.

12. Availability and changes

We aim for high availability but do not guarantee uninterrupted service. We may add, change, or remove features. If a change materially reduces a paid feature you rely on, we will give reasonable notice. We may also update these terms; if a change is material we will let you know before it takes effect, and continuing to use the Service after that means you accept the new version.

13. Warranty disclaimer and liability

The Service is provided "as is" without warranties of any kind to the extent permitted by law. We do not warrant that reports, categorizations, or estimates are error free or suitable for filing. Our total liability arising out of the Service is limited to the amount you paid us in the 12 months before the claim. We are not liable for indirect or consequential losses, including lost profits, lost data, or tax penalties, to the extent permitted by law.

14. Suspension and termination

You can stop using the Service and delete your account at any time; see the Data Deletion page for what that removes. Deleting an account does not refund or shorten an annual commitment already in progress. We may suspend or terminate an account that breaches these terms, creates risk for other customers, or has unpaid fees, with notice where practical. Before we delete anything on our side we give you a reasonable chance to export your data.

15. Governing law

These terms are governed by the laws of the State of New York, without regard to conflict of law rules, and disputes will be brought in the courts located there.
